Ray Haas is a director with the firm and a veteran of more than thirty years with Howard Rice. His practice focuses on the development and distribution of goods, services and software, both in the United States and abroad, and issues relating to intellectual property and antitrust. He is experienced in a diverse range of transactions, including strategic partnerships, overseas outsourcing agreements, distributorship agreements, product development agreements, clinical trial agreements, computer software licenses, franchising, venture capital financings, mergers and acquisitions, and consignments of art to auction houses and dealers.
Mr. Haas represents manufacturers of medical devices and telecommunications equipment, software developers and publishers, retailers, professional services companies and a variety of Internet-based businesses. His clients range from individuals and small startups to publicly held companies.
In addition, Mr. Haas has represented smaller clients with impressive technologies in successful negotiations with large international corporations such as Hewlett-Packard, Canon, Inc., Oki Electric Industry Company, Ltd., Eastman Kodak Corporation and Honeywell Corporation. Over the years, he has done extensive work for clients such as Dolby Laboratories, Inc., Intel Corp., Longs Drug Stores Corporation and GreenPoint Financial.
Prior to joining Howard Rice, Mr. Haas served as a law clerk to Chief Justice Roger J. Traynor of the California Supreme Court.
Representative Matters
- Represented TriVascular, Inc. in its acquisition by Boston Scientific Corporation.
- Represented Rigel Associates in a leveraged buyout of Flexstar.
- Represented National Display Systems in a recapitalization, including an investment by Riverside Partners, a private equity fund.
- Represented Real Estate Equity Exchange, Inc. in the negotiation of distribution and placement agreements for asset-backed securities where the underlying assets were long-term options to acquire owner-occupied residences.
