André Brewster is a director with the firm in the Business Department. He has more than 30 years of experience as a securities and business transactions lawyer and advises clients on a full range of corporate, partnership and securities matters, including public offerings, private placements, acquisitions, contract negotiations, regulatory filings and compliance. He emphasizes the representation of investment companies, investment advisors, broker-dealers and other financial institutions and intermediaries. He also acts as counsel to the independent directors and trustees of registered investment companies.

Mr. Brewster served on the firm’s Management Committee from 2003 to 2007. Prior to joining the firm, he was a partner at Orrick, Herrington & Sutcliffe and a law clerk to Judge Harrison L. Winter of the United States Court of Appeals for the Fourth Circuit.

Mr. Brewster has been a speaker and writer on a variety of securities and business law topics.

  • Counseling The Charles Schwab Corporation in the sale of U.S. Trust Corporation to Bank of America.
  • Representing Legato Capital Management in a joint venture with CalPERS in connection with its Manager Development Program.
  • Advising Montgomery Street Income Securities, Inc., a closed-end bond fund, in its search for a new investment adviser and administrator.
  • Representing Bailard Funds in a fund adoption by HighMark Funds, an affiliate of Union Bank of California.
