Representative Engagements Our attorneys represented TriVascular, Inc. in its initial formation in 1998 and in subsequent matters including several rounds of venture capital financing, bank financing, strategic corporate investments, acquisition of key technology, trade secret protection, clinical trial agreements, an international product distribution arrangement and recent acquisition by Boston Scientific Corporation. Represented Genentech, Inc. in the California Supreme Court in an appeal of a $500+ million judgment, which included $200 million of punitive damages. The punitive damages award was the largest ever upheld in a published appellate decision in California, until the California Supreme Court overturned that award unanimously in 2008. The case involved the cutting-edge question of whether Genentech could be held to have owed and breached a fiduciary duty to a researcher when Genentech failed to pay royalties due to the researcher. We have represented Aberdare Ventures in connection with its investments in biotechnology companies, including Posit Science Corporation (formerly, Neuroscience Solutions), a company engaged in brain health and cognitive performance research, and Ample Medical, Inc., a company developing minimally invasive medical devices to treat valvular heart disease and congestive heart failure. In these and other transactions, we assisted Aberdare in evaluating potential portfolio companies' intellectual property and capital structure, negotiation of term sheets, performing intellectual property and other legal due diligence and negotiations of transaction documents. We have been engaged by Pacific Growth Equities, LLC as underwriters' counsel in connection with several underwritten public offerings by biotechnology companies, including LaJolla Pharmaceuticals, Inc., a company that develops technology and potential drugs to treat antibody-mediated diseases, and Dyax Corporation, a company focused on the discovery, development and commercialization of antibody, protein and peptide based therapeutic products. In these and other transactions, we assisted Pacific Growth Equities in conducting due diligence, drafting disclosure documents, negotiating of underwriting agreements and legal opinions, and facilitating interactions with the SEC, NASD, and other regulatory agencies. In addition, our attorneys have advised life sciences clients in numerous public equity and debt offerings, representing either the companies or the underwriters. Representative Clients
